Terms of Service

These Terms describe how you may use the Vindex platform to manage violations, work orders, tenant risk, marketplace bids, and portfolio reporting. They are a product description and do not constitute legal advice.
These Terms of Service ("Terms") govern your access to and use of Vindex and all tools, features, data integrations, and services offered through the platform (collectively, the "Services").
By creating an account, logging in, or using the Services, you agree to these Terms on behalf of yourself and any organization you represent. If you do not agree, you may not use Vindex.
1. Eligibility & User Roles
Vindex is designed for professional use by adults working in or with regulated property portfolios, including:
- Landlords, owners, and asset managers
- Operations and property management staff
- Attorneys, legal teams, and compliance staff
- Contractors, vendors, and consultants
- Lenders, investors, and other stakeholders
You are responsible for ensuring that you are authorized to use Vindex on behalf of any organization whose data you upload or manage.
2. Use of the Platform
- You may use Vindex only for lawful purposes and in accordance with these Terms.
- You must be authorized to manage the buildings, violations, tenants, legal matters, and operational data you upload or sync.
- You may not misuse the platform, including attempting to disrupt, reverse engineer, or copy proprietary components or user interfaces.
- You may not use the Services to harass, discriminate, or take unlawful actions against tenants, staff, or other parties.
- You are responsible for ensuring your use of Vindex complies with applicable housing, privacy, consumer, and other relevant laws in your jurisdiction.
3. Your Data & License to Vindex
You retain ownership of all property, tenant, violation, work-order, bid, and attachment data you store in Vindex ("Your Data"). Subject to these Terms, you grant Vindex a limited, non-exclusive license to process and display Your Data solely for the purpose of providing the Services to you and your authorized users.
- We may process Your Data to power dashboards, analytics, reports, marketplace views, and other features.
- We may use aggregated and de-identified data to improve the Services and for product analytics, but not to identify you or your tenants.
- You are responsible for the accuracy and legality of Your Data and for obtaining any necessary consents to store and process it in Vindex.
4. Regulatory & Public Data Sources
Vindex may integrate public datasets (for example, HPD, DOB, or other regulatory sources) or data you import from such sources. These datasets are not controlled by Vindex and may contain errors, delays, or omissions.
- Public data is maintained by third-party agencies, not Vindex.
- Automated imports may be incomplete or out of date depending on agency updates or availability.
- You agree that operational or legal strategies must rely on your professional judgment and/or the advice of qualified advisors, not on software predictions or dashboards alone.
5. Roles, Permissions & Third-Party Access
Vindex is built to support multiple user types (e.g. landlord, ops, legal, contractor, consultant, lender). Your organization controls which roles are granted, which properties and reports they may see, and what actions they may take.
- You are responsible for assigning roles and permissions appropriately within your account.
- If you invite contractors, consultants, or attorneys into Vindex, you are responsible for their access and the information you choose to share with them.
- You must promptly remove access for users who should no longer see or manage Your Data.
6. Payment, Trials & Plans
In a production deployment, paid plans may be billed monthly or annually according to your subscription. Trial environments, like the current demo, may be offered at no cost for evaluation purposes.
- Failure to pay subscription fees when due may result in limited access or account suspension.
- We may change prices or plan features with reasonable notice, in accordance with applicable law and your agreement, if any.
- In a demo or trial environment, data may be deleted or reset without notice and should not be relied on as a system of record.
7. No Legal, Financial, or Compliance Advice
Vindex provides tooling and data views to help you organize information and workflows. It does not provide legal, financial, or compliance advice and does not create an attorney–client or other professional relationship between you and Vindex.
You are solely responsible for obtaining independent advice from qualified professionals (for example, attorneys, accountants, compliance officers) when making decisions about violations, tenants, litigation, financing, or regulatory matters.
8. Suspension & Termination
We may suspend or terminate your access to the Services if you:
- Materially violate these Terms or any applicable law;
- Use the Services in a way that causes harm or risk to others;
- Attempt to interfere with the security or integrity of the platform.
In a production environment, we aim to provide notice where reasonable, but we may act without notice in urgent situations (for example, suspected security incidents or misuse).
9. Disclaimers & Limitation of Liability
To the fullest extent permitted by law, the Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory.
- We do not guarantee that agency data (HPD, DOB, court records, or other public sources) is complete, current, or accurate.
- We are not responsible for actions you take based on analytics, dashboards, risk scores, or other outputs of the platform.
- We are not liable for lost revenue, legal outcomes, operational delays, or other indirect or consequential damages.
- We are not responsible for failures of third-party integrations, external systems, or networks outside our control.
Some jurisdictions do not allow certain limitations of liability or disclaimers; in those cases, these limitations apply to the fullest extent permitted by applicable law.
10. Changes & Governing Law
We may update these Terms from time to time as the Vindex platform evolves. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice within the application.
Any disputes relating to these Terms or the Services will be governed by the laws applicable where Vindex is operated and/or as specified in a separate written agreement between you and Vindex, if one exists.
